BASSETERRE, St. Kitts – THE St. Kitts-Nevis-Anguilla National Bank Company Limited has a new Board of Directors following the resignation of members of the old one which was led by Linkon Maynard.
SKNVibes was reliably informed that an Extraordinary General Meeting was held yesterday (Apr. 21) at the Marriott Resort and the minority shareholders were involved in the nomination process and had voted unanimously along with the majority shareholders for two of the Board’s Directors.
In an exclusive interview with this publication, Attorney-General (AG) and Minister of Justice, Hon. Vincent Byron Jr. stated that following Team Unity’s victory at the February 16 General Elections, the Board of Directors had voluntary resigned but not before some of them were asked to do so by the Chairman.
“Some of them had determined why ‘should they resign’. Whether they were having advice from some circles, some people had decided to be difficult and not resign. But we invited the Chairman of the Board, Mr. Linkon Maynard, to advise members of the Board and he graciously invited them to resign, and so they did. So the Bank had been without a Board for some weeks.”
The AG also stated that since the old Board had resigned, one individual had remained but the Bank could not effectively function without replacements and the Government had decided to quickly rectify the situation.
“There was one individual still in place at that time, Mr. Hastings Daniel, the Corporate Secretary of the Bank, so the Bank needed to have a Board of Directors to function properly; so the meeting yesterday was requisition by the majority shareholder, the Government of St. Kitts and Nevis.
“We went through the proper regulations and the way in which the Articles of Association state it should happen...we went through the common ground and fulfilled all the requirements. There were nine vacancies out of a possible 10; Hastings Daniel would have been the 10th one.
The Government, with 51 percent, had nominated the nine individuals, all of whom were elected following the nomination process which was supervised by Trevor Blake, General Manager of the Eastern Caribbean Stock Exchange.
He said the minority shareholders were given seven days notice prior to yesterday’s meeting to provide a list of individuals they intended to nominate, and that list included Pastor Analdo Bailey and Wallis Wilkin.
He further said that Steven Hector was retained as Corporate Secretary.
The AG informed that the new Chairman is Chartered Accountant and former Financial Officer of the TDC Group of Companies Howard Mc Eachrane; while Pastor Analdo Bailey, a Banker and General Manager of Eastern Caribbean Home Mortgage, was elected First Chairman; and General Manager of St. Kitts Biomedical Research Institute Alexis Nisbett holds the post of Second Vice Chairman.
In addition to the above mentioned and Wallis Wilkin, Marketing Manager of Horsford’s Group of Companies, the other Directors are: Medical Surgeon Dr. Cardell Rawlins; Attorney-at-Law Theodore Hobson, QC; Businessman Lionel Benjamin; Attorney-at-Law Talibah Byron; and Eretha Simpson-Browne, Customer Service Manager, National Housing Corporation.
Meanwhile, information reaching this media house states that the Board had installed new Directors for the National Bank Trust Company for which the National Bank is the sole shareholder.
The new Chairperson is Economist Vernon Harris, while Cyndie Demming and Dr. Patricia Bartlette are the Vice Chairman and Secretary respectively.
The other Directors are Attorney-at-Law O’Grenvile Browne, Shirley Julius and Grace Lewis.
